Service Agreement Software Definition

This Agreement is a legally binding agreement between you and BQE Software, Inc. (or, if applicable, on the basis of your domicile, one of its affiliates). This Agreement consists of the following terms and conditions of sale, the SLA applicable to the Service and the pricing and payment terms made available to the Service. The Service may also contain other published communications, guidelines or codes of conduct, all of which are included by reference in this Agreement. 4. Uptrends agrees that data and information uploaded by Customer (or Customer`s authorized users) stored or processed through the Software Services (“Customer Data”) is treated confidentially by Uptrends and remains the exclusive property of Customer. Customer agrees that it is responsible for maintaining and protecting backups of all Customer Data processed directly or indirectly with the Software Services and that Uptrends is not responsible for the omission of storage, loss or damage to Customer Data.

Customer agrees that Uptrends and its associated companies may collect and track technical and related information about Customer`s and Customer`s use of the Software Services, including Customer`s Internet Protocol address, hardware and software used by Customer, as well as various usage statistics, in order to support the necessary operation and function of the Software Services and solely for internal purposes. including, but not limited to, the provision of updates, support, billing, marketing by uptrends, its related companies or representatives, as well as research and development. In the event that Uptrends is required or ordered to transmit customer data to third parties, in accordance with a judicial order or any other legal constraint, if the law allows it, Uptrends will take all economically appropriate measures to immediately inform the customer of any order or relevant basis for disclosure, so that the customer can take all possible measures, to object to such mandatory disclosure if the customer chooses it….
